This Non-Compete Agreement (hereinafter referred to as the "Agreement") is made and entered into on this _____ day of _______________, 20____ (the "Effective Date"), by and between _____________________________ (the "Employee") and _____________________________ (the "Employer"), collectively referred to as the "Parties."

WHEREAS, the Employee agrees to be bound by the terms of this Agreement in consideration of employment by the Employer and any benefits received as part of the employment relationship;

WHEREAS, the Employer is engaged in _____________________________, and possesses valuable and confidential information, trade secrets, and business strategies that are proprietary to the Employer;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

  1. Non-Compete Clause: The Employee agrees not to directly or indirectly engage in any business that competes with the business of the Employer within the entire State of Hawaii for a period of ___________________ following the termination of employment. This includes, but is not limited to, working for a competitor, starting a competitive business, or soliciting customers or clients of the Employer.
  2. Non-Solicitation Clause: For a period of ___________________ following the termination of the Employee's employment, the Employee shall not solicit any of the Employer's employees, customers, or clients with whom the Employee had material contact during the Employee's tenure with the Employer.
  3. Remedies for Breach: The Employee acknowledges and agrees that any violation of the Agreement's provisions will result in irreparable harm to the Employer, for which damages, monetary or otherwise, may not be an adequate remedy. Therefore, the Employer shall be entitled to seek enforcement of this Agreement through specific performance and injunctive relief, in addition to any other remedies available at law or in equity.
  5. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to this Agreement shall be instituted in the courts of the State of Hawaii, and the Parties consent to jurisdiction and venue in such courts.
